“Out of This Universe” Contest — OFFICIAL RULES

The Rust-Oleum “Out of This Universe” Contest (the “Contest”) begins at 12:01AM Central Time (CT) on June 30, 2008 and ends at 11:59PM CT on September 30, 2008 (the “Contest Period”). Internet Access is required.

OVERVIEW:

Enter your Rust-Oleum Universal Spray Paint project and project description and you could win a trip for four (4) to Kennedy Space Center in Florida. The winner will have an opportunity to choose from two different family entertainment options. All you have to do is upload your photo(s) or video displaying the creative use of Universal Spray Paint in a project around your home and write a brief description of your project (250 words or less). Entries will be judged by the Rust-Oleum Universal Spray Paint Team. The winner will be selected according to how well you show Universal Spray Paint’s next generation capabilities, and how the project improved your indoor and/or outdoor home space.

ELIGIBILITY:

The Rust-Oleum “Out of This Universe” Contest is open to legal residents of the United States including the District of Columbia, but excluding Vermont, Maryland, North Dakota, and Puerto Rico and wherever else prohibited by law. Contestants must be eighteen (18) years of age or older in order to participate. Employees of Rust-Oleum Corporation (“Sponsor”), and its affiliates, subsidiaries, advertising and promotion agencies, and such employees’ immediate family members and/or persons living in the same household are not eligible.

HOW TO ENTER:

1) Visit rustoleumuniversal.com and complete the registration process to enter. 2) Upload your picture/s or video and submit a project description of no more than 250 words (the “Entry”) describing Universal Spray Paint’s next generation capabilities, and how the project improved your indoor and/or outdoor home space. Entries will be housed on the rustoleumuniversal.com website where viewers can rate and share the Entries. If approved, each entry will also be posted to a Rust-Oleum “Album” on Webshots and to the Rust-Oleum “Channel” on YouTube.

By completing the registration and uploading your photo(s)/video, you agree that your photo(s)/video conforms to the Video Guidelines and Content Conditions/Restrictions as defined below (collectively, the "Guidelines and Conditions/Restrictions") and that Sponsor may remove your photo(s)/video if it believes, in its sole discretion, that your photo(s)/video fails to conform to the Guidelines and conditions/Restrictions in any way, in which case you shall be disqualified from the Contest.

Video Guidelines:

  • Videos must be in one of the following formats: .avi, .mov, .mpg, .mpeg, .wmv, .qt, .mp4, .flv, .ram, .ogm, .mpeg4, .mp4v, .mpe, or .mkv.
  • It must be no less than twenty-five (25) seconds in length or longer than 5-minutes in length.
  • The Video cannot have been submitted previously in a contest of any kind or exhibited or previously displayed publicly through any means.

Photo Guidelines:

  • Each Photo(s) must be no larger than four (4) Mb;
  • The Photo(s) must be in .jpeg or .gif format;
  • The Photo(s) may be color or black and white;
  • The Photo(s) cannot have been submitted previously in a contest of any kind or exhibited or displayed publicly through any means previously.

Content Conditions/Restrictions:

  • By submitting photo(s)/video, each participant in the contest warrants that the material he or she submits will be in all respects their original work of authorship. However, if the photo(s)/video depicts third party copyrighted materials, the contestant must submit a license or other permission from the copyright holder, sufficiently broad enough to permit all of the uses which Sponsor may make of it. If anyone makes a claim against Rust-Oleum concerning a particular entry for copyright infringement or otherwise, such entry will be disqualified and the participant who submitted that photo(s)/video will defend and indemnify and hold Rust-Oleum harmless from any such claim.
  • All individuals appearing in a submitted photo(s)/video must be the Entrant, or if other people appear in the photo(s)/video the Entrant must be able to prove, upon request, that the other people have approved and released use of their image.
  • Entry photo(s)/video become the property of the Sponsor and will not be acknowledged or returned.
  • The photo(s)/video must not display content that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
  • The photo(s)/video must not contain third party brand names or trademarks. Clothing worn in the photo(s)/video should not contain any visible logos, drawings, cartoons, phrases, trademarks or other third-party materials.
  • The photo(s)/video must not contain material that is hateful, tortiuous, defamatory, slanderous or libelous.
  • The photo(s)/video must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
  • The photo(s)/video must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where the photo(s)/video was created.
  • Entrants retain the copyright to their photo(s)/video, and all rights thereto, except as follows. By entering the Contest, Entrants agree that Sponsor has the right to use the photo(s)/video for any lawful purpose it chooses. It will not license the photo(s)/video to any other legal person for a fee, however.
  • In the event that ownership of any photo(s)/video submitted is contested in any manner, Sponsor will disqualify that entry. Nothing contained herein shall be deemed to obligate Sponsor to make use of any of the rights granted herein and winner waives any right to inspect or approve any such use of any and every nature and kind.
  • If, in Sponsor's sole discretion, the Entry appears to have resulted in any injury or bodily harm, it will be rejected.
  • Entries must be in keeping with Sponsor's image and may not be offensive, as determined by Sponsor in its sole discretion, nor can it defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights.
  • Any Entry not in compliance with the above and does not meet the Websites' requirements will be disqualified.

JUDGING/ CONTEST WINNER DETERMINATION:

Judging will be conducted by the Rust-Oleum Universal Spray Paint Team.

All eligible Entries submitted by the Entry Period deadline will be judged based on the following criteria:

Eligible Entries will be housed and published on the rustoleumuniversal.com website where viewers will have the opportunity to rate them. Entries with the top viewer ratings will be reviewed and evaluated by the Judges on the basis of each Entry’s depiction of Rust-Oleum Universal’s next generation capabilities (any angle, any surface) (worth 50%) and how the project improved the Contestant’s indoor and/or outdoor home space (worth 50%). The Entry with the top Judges’ evaluation will be determined the Grand Prize winner. In the event of a tie, the Grand Prize winner will be determined by the Judges evaluation of the Entrant’s depiction of Universal Spray Paint’s next generation capabilities. Judges’ decisions are final with respect to all matters relating to the Contest.

PRIZES:

There will be One (1) Grand Prize winner. Winner will receive a family trip for four (4) to Kennedy Space Center in Florida. Grand Prize trip includes round trip airfare for four (4) people from the major United States airport nearest to Grand Prize Winner's home, hotel accommodations at Coco Beach, car rental, tickets to a real NASA Shuttle launch for four people, and $2000 cash spending money. In the event a winner lives within a 100-mile radius of the destination city, car rental will be provided and no additional compensation for airfare will be made. Grand Prize winner may also choose one of the following two different entertainment packages:

The Approximate Retail Value of the Grand Prize is $8,000.

Grand Prize Winner will be notified either by phone, certified United States mail, overnight courier, and/or e-mail. If Administrator is unable to reach the potential Grand Prize Winner using any of the above methods within five (5) business days, he/she will be disqualified and an alternate winner will be determined. Prize is awarded "as is" with no warranty or guarantee, either express or implied by Sponsor. Prize is not transferable. No substitution or transfer of prize permitted except at the sole discretion of the Sponsor who reserves the right to substitute a prize (or portion of prize) of equal or greater value in the event the prize is unavailable. All taxes related to the receipt and use of the prize are the sole responsibility of the Grand Prize Winner. All other expenses and costs not expressly listed above are the Grand Prize Winners' sole responsibility.

Grand Prize winner will be required to sign and return an Affidavit of Eligibility & Liability Release and, where allowable, Publicity Release, within ten (10) business days from the date of notification. If the Affidavit is not received by the Contest Administrator within ten (10) business days, the prize will be forfeited. Failure to comply with this requirement for any reason, or return of prize notification or prize as undeliverable, or noncompliance with these Official Rules will result in forfeiture of the prize and selection of an alternate potential winner. In the event that any potential winner is disqualified for any reason, the prize will be awarded to the contestant who received the next highest score.

Travel companions of Grand Prize Winner (or parent or legal guardian if travel companions are minors) will be required to execute a Travel Companion Liability Release and, where allowable, a Publicity Release prior to the booking of any travel arrangements; if travel companions are minors, he/she may only travel with his/her parent or legal guardian (i.e., the winner). Winner and travel companions must possess valid travel documents (i.e., valid photo ID, etc.) in order to travel. All travel must be completed by May 31, 2009. Seat selection and timing of trip subject to availability, confirmation of reservations and the NASA Shuttle launch schedule. Airline carrier's regulations and conditions apply. No refunds or credit for changes are allowed. All other expenses and costs, not expressly listed above, including, but not limited to, taxes, tips, entertainment and transfers and meals are Grand Prize Winner's sole responsibility. The Rust-Oleum Corporation shall not be responsible for rescheduling of the award trip due to conditions beyond its control including, but not limited to, the NASA Shuttle launch schedule.

GENERAL:

Sponsors will not be responsible for incomplete, lost, or late entries or for the failure to receive entries due to transmission failures or technical failures of any kind, including, without limitation, malfunctioning of any network, hardware or software, whether originating with the sender or the Sponsor. The Sponsor reserves the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the contest.

GENERAL RELEASE:

Except where prohibited, participation in the Contest constitutes the winners’ irrevocable consent and release to Sponsor and their agents to use, record, reproduce, publish, display, perform and translate: (1) the name, likeness, voice, quotations, opinions and biographical information of the winner, including without limitation any recording, for promotional purposes in any media, worldwide, and/or for any other commercial or non-commercial corporate purpose, including without limitations for any and all marketing, without attribution or further payment or compensation to the Contestant, his or her successors or assigns or any other entity. Sponsors will not be responsible for typographical, printing or other inadvertent errors in these Official Rules or in other materials, in print or electronic format, relating to this contest. Federal, state, local and municipal laws and regulations apply. By participating in this Contest, the contestants hereby waive and release, and agree to hold harmless the Sponsor, the administrators, all promotions and advertising agencies, and their respective parents, subsidiaries, affiliates, distributors, officers, directors, employees, representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of the prize in the Contest, or their participation in the Contest, or their participation in any Contest or prize related activity, or any travel related to the Contest or any travel for any prize related activity.

PARTICIPATION:

By participating, entrants agree to be bound by these Official Rules and the decisions of the Judges/Sponsor. In the event the contest is compromised by a virus, non-authorized human intervention, tampering, or other causes beyond the control of the Sponsor which corrupts or impairs the administration, security, fairness or proper operation of the contest, Sponsors reserve the right in its sole discretion to suspend, modify or terminate the contest. Sponsor further reserves the right to disqualify any individual who tampers with the entry process. Sponsor may prohibit an entrant from participating in a Contest if it determines that said entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception or other unfair playing practices or intending to abuse, threaten or harass other entrants. Caution: Any attempt by a participant to deliberately damage any Web site or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, Sponsors reserve the right to seek damages from any such participant to the fullest extent of the law.

WINNER CONFIRMATION:
